These Terms of Service ("Terms") govern your access to and use of the Storytell SmartChat™ platform ("Platform"), provided by Signal from Noise, Inc. ("Storytell," "we," or "us"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Account Registration and User Responsibilities
   1. To save content to the Platform, you must create an account. You agree to provide accurate and complete information during the registration process and to keep your account information updated.
   2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.
   3. You are responsible for all content and activities that occur under your account. You agree not to use the Platform for any illegal, harmful, or unauthorized purposes.
2. Intellectual Property Rights
   1. The Platform and its content, including but not limited to text, graphics, images, logos, and software, are protected by intellectual property laws. You agree not to modify, reproduce, distribute, or create derivative works based on the Platform or its content without our prior written consent.
   2. You retain ownership of the content you upload to the Platform. By uploading content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and distribute the content for the purpose of providing the Platform's services and improving the Platform.
   3. Our liability surrounding the data you upload to the Platform is limited to what is outlined in our Data Protection Agreement (”DPA”).
3. User Content and Conduct
   1. You are solely responsible for the content you upload, post, or transmit through the Platform. You agree not to upload, post, or transmit any content that is unlawful, harmful, defamatory, infringing, or otherwise objectionable.
   2. We reserve the right to remove or disable access to any content that violates these Terms or is otherwise objectionable, without prior notice.
   3. You agree not to interfere with or disrupt the operation of the Platform or the servers or networks connected to the Platform. You also agree not to bypass any measures we may use to prevent or restrict access to the Platform.
4. Privacy and Data Protection
   1. Our collection and use of personal information is governed by our Privacy Policy. By using the Platform, you consent to the collection, use, and disclosure of your personal information as described in the Privacy Policy, See our Privacy Policy for details at https://go.storytell.ai/privacy
5. Termination
   1. We may rate limit, terminate or suspend your access to the Platform, without prior notice or liability, for any reason, including if you breach these Terms or we determine you are abusing the Platform.
   2. Upon termination, your right to access and use the Platform will immediately cease, and any content associated with your account may be deleted.
6. Limitation of Liability
   1. To the maximum extent permitted by law, Signal from Noise, Inc. and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with the use or inability to use the Platform.
7. Governing Law and Dispute Resolution
   1. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where Storytell is located.
   2. Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the relevant arbitration association.
8. Modifications to the Terms
   1. We reserve the right to modify or update these Terms at any time, without prior notice. The updated Terms will be effective upon posting on the Platform. Your continued use of the Platform after the posting of the updated Terms constitutes your acceptance of the changes.
